These terms (“Sociabl. Terms”), and the documents we refer to in them, apply to your use of "Sociabl." and any transactions made through "Sociabl.", including our website and the Sociabl. platform (“Sociabl.”).
Please read these "Sociabl." Terms carefully to understand what we offer, how you can use our platform, and how transactions with "Sociabl." work. We also recommend reviewing the Privacy Policy for more details on how we handle your information.
By using Sociabl. and creating an account with us, you agree to these "Sociabl." Terms.
Introduction
1.1 These terms (“Sociabl. Terms”), and the documents we refer to in them, apply to your use of Sociabl. and any transactions made through Sociabl., including our website and services (“Sociabl”). By using our services and creating an account with us, you agree to these "Sociabl." Terms. Please read carefully to understand the services we offer, how you can use them, and how transactions work within "Sociabl."
1.2 You agree to have read our Privacy Policy for further details on how your information is processed.
About "Sociabl."
2.1 "Sociabl." is a consulting firm providing services to help individuals and businesses grow and monetize their brands online. We offer tailored digital strategies, content creation frameworks, social media consulting, CRM tools, and community-building solutions. Through our three-tier service model, we empower clients to build and maintain a digital presence that connects with their audience and scales their business.
Your "Sociabl." Talent page is the ultimate destination for your Fans, allowing you to aggregate your content, other offerings, and commerce into one place, and build your digital community using "Sociabl."s digital infrastructure. We also provide in-built tools and integration with third party channels to help you monetise your "Sociabl." Talent page.
2.2 We don’t want to get in your way. When a Fan engages with, or purchases, your content, products, events, experiences (digital or physical), tickets, gift capabilities, subscription or ‘bundle’ offering services, or other materials or services made available through your "Sociabl." Talent page by you (“Talent Services”), their agreement is with you and/or any intermediary through which you choose to monetise your brand or services. We act as your "Sociabl." Talent page provider, and your vendor for activities such as hosting of links to your sales channels, facilitation of "in-Sociabl." purchases directly from you and/or your chosen monetisation partners, or helping manage Fans’ experience of your "Sociabl." Talent page.
Services Provided
3.1 "Sociabl." offers the following services:
Tier 1: Link-in-bio solutions with automation features. Tier 2: Tailored social media solutions, CRM systems, and design services.
Tier 3: Personalized content creation guidance and brand identity development.
Additionally, we provide online communities, marketing strategies, and one-on-one consulting calls for clients to refine their brand identity and growth strategy.
3.2 “Profile Building”: functionality to build your Talent page (your “Profile") as the ultimate destination for your Fans, including by hosting links to third party sites on your Profile.
3.3 "Sociabl. Commerce”: Sociabl enables you to monetise your brand and Talent Services by enabling Fans to purchase Talent Services from your Profile without leaving the "Sociabl." environment
3.4 “Sociabl. Audiences" and Campaigns”: use "Sociabl." campaign functionality to engage with, and better understand, your audience of Fans.
Account Requirements
4.1 To use "Sociabl."’s services, you must have a valid bank account. There is no age restriction; however, users must meet this requirement to proceed.
4.2 When you register for your Komi Talent account, you will be assigned your Profile web address. We reserve the right to amend your Profile web address at any time, with your timely discretion.
4.3 To the extent necessary for us to be able to provide "Sociabl." to you, you approve the content of the Fan Terms, authorise us to act in accordance with them and confirm you will abide by them (to the extent they directly or indirectly refer or relate to obligations from you to Fans).
4.4 "Sociabl." Fans Terms:
4.5 All your interactions and transactions with "Sociabl." Fans are between you and the Fan on the terms you choose to implement between you and the relevant Fan (whether directly, or via your chosen third party monetisation channels via "Sociabl." Commerce), including any licences to the intellectual property in any of the Talent Services. You are therefore responsible for complying with any obligations to which you are subject under applicable law in respect of such terms, including all applicable consumer and privacy regulation and legislation. To the extent you choose to use "Sociabl." functionality which results in us processing personal data of Fans, we do so on your behalf and on your instruction.
4.6 Whilst we do facilitate your offering of the Talent Services to Fans and transactions through "Sociabl." Commerce, and do carry out certain limited functions accordingly (such as acting as a processor of personal data, and host of your content) we are not a party to any agreement between you and the Fan.
4.7 We are not responsible for, and (to the fullest extent permissible under law) we disclaim, any and all liability (howsoever arising), that any Fan or Talent may incur or suffer from the interactions, transactions and/or purchases made under, or further to, your agreement with Fans in connection with Talent Services posted or linked to on "Sociabl.".
Payment & Fees
5.1 Fees for our services are as listed on the "Sociabl." website and may be updated with prior notice. The fee listed on the website at the time of your purchase is the amount you will pay, unless otherwise agreed upon with a deal or promotion. Additional charges may apply for certain services or upgrades.
MONETISATION OF YOUR PROFILE: HOW PURCHASES THROUGH "Sociabl." WORK
5.2 "Sociabl." enables you to monetise your Profile through:
5.2.1 the incorporation of links to third party sites outside of "Sociabl." (“Third Party Links“) which may include monetisation channels (such as Stripe, Shopify or Amazon); and 5.2.2 "Sociabl." Commerce tools and functionality we make available to you through our infrastructure (which may vary from time to time in our discretion) which enables Fans to purchase Talent Services from you, via your chosen monetisation channels, without leaving your Profile.
5.3 When a Fan purchases Talent Services from you using: 5.3.1Third Party Links: we will host the third party link on your Profile, and when a Fan clicks the relevant link, they will leave the "Sociabl." environment and be directed to your chosen monetisation channel. "Sociabl." will not have control or responsibility over the Fan’s experience once they leave the "Sociabl." environment – including for the ultimate purchase that is made, payment processing or order fulfilment. Other than our wider "Sociabl." Profile Building Fee (defined in section 5.1 (‘Patments and Fees) above) we do not charge you any fees for transactions originating from a Third Party Link on your Profile. 5.3.2 "Sociabl."Commerce: we will act as a vendor to host a pop up window through which Fans can input purchase information and complete the checkout process of your chosen monetisation channel for your Talent Services without leaving your Profile. The purchase is between you and the Fan using the monetisation channel of your choice. Unless otherwise agreed, we will not be responsible for the ultimate purchase that is made, payment processing or order fulfilment. We charge the Komi Commerce Fee (defined in section 5.1 (‘Payments and fees’) above) for transactions completed using "Sociabl." Commerce functionality.
User Responsibilities
6.1 You are responsible for ensuring that all content posted and services provided via Sociabl. comply with applicable laws and regulations. Using Sociabl. to create or distribute harmful, offensive, or illegal content is prohibited. You are also responsible for the content shared through any third-party services you link to or integrate with our platform.
Please use "Sociabl." safely and responsibly, keeping in mind the safety of Komi’s Fans. In particular you must use Komi in accordance with the usage rules for Talent below. We reserve the right to decide at our sole discretion whether particular actions, content or behaviour might be inappropriate for "Sociabl." because they make "Sociabl." less safe or friendly for the Fan and Talent community, or breach these usage rules, or the spirit of them. References to ‘posting’ or ‘post’ below include selling or making available for sale or purchase, communicating (including without limitation by any written communication, audio-visual material, stream or other media), transmitting, conducting or otherwise making available any Talent Services or promotion of them.
6.1.1 Do not hold yourself out as acting for us, as having the right to bind us to any legal agreement, or as having authority to speak on our behalf or imply that you are entitled to do so.
6.1.2 Except through our "Sociabl." functionality that specifically allows for setting out your e-commerce links and references, do not use "Sociabl." to promote, market, advertise, endorse, solicit users or Fans to, support or feature in any way (including without limitation within your posts) any third party products, platforms or services which compete directly with "Sociabl.".
6.1.3 Do not offer or promote any regulated content, services or products through "Sociabl." including without limitation alcohol, gambling, tobacco products (including e-cigarettes), drugs, chemicals, financial advice or medical advice except without the prior written consent of "Sociabl.".
6.1.4 Do not post any content or Talent Service in "Sociabl." which seeks, or makes any arrangement, to: (i) meet any person privately in person, or (ii) set up a live or interactive experience online with any person under the age of 18 without the presence and supervision of such person’s parent or guardian.
6.1.5 Do not impersonate or attempt to impersonate any other persons or organisations whilst using "Sociabl.", including without limitation in your posts.
6.1.6 A "Sociabl." Talent account is only for Talent to connect with their Fans, do not create a Talent account in order to build a fan page or similar page dedicated to a particular Talent or category of Talent.
6.1.7Do not hold yourself out (including by using language or imagery) as having an affiliation or connection with other Talent unless authorised to do so by such other Talent.
6.1.8Do not post in "Sociabl.", or use or attempt to use in "Sociabl.", any Talent Services, which infringe the rights of any third party (including without limitation their intellectual property rights or privacy rights).
6.1.9Do not conduct yourself in a manner which, or post to "Sociabl." any Talent Services or content which might, call "Sociabl.", "Sociabl." Holdings Ltd, or any of our affiliates into disrepute.
6.1.10 Do not post in "Sociabl." any Talent Services which are, or which promote other material which is, pornographic, sexual or sexually explicit, offensive, immoral, discriminatory, illegal (under the laws of England and Wales and the territory in which you are located), defamatory, threatening, violent or otherwise intended to harm or harass others.
6.1.11 Do not post in "Sociabl." any Talent Services which are homophobic, abusive, hateful, seditious, encourage violation of these Talent Terms, involve unsolicited marketing or SPAM, or which are technically harmful or may be technically harmful such as viruses, logic bombs, harmful data or any other malicious software or process.
6.1.12 Do not sell, copy, loan, rent, scrape, index, crawl, data mine, publish, modify, adapt or reproduce any part of "Sociabl.".
6.1.13 Do not, and do not attempt to: gain unauthorised access to "Sociabl.", any part of "Sociabl." or any content within "Sociabl."; disrupt , any part of "Sociabl." or any content within "Sociabl."; circumvent "Sociabl." security measures; interfere with or damage "Sociabl.", any part of "Sociabl." or any content within "Sociabl." or our systems, devices or servers.
6.1.14 Do not, and do not attempt to: hack, mimic, disable, obscure, merge, disassemble, decompile or reverse-engineer "Sociabl.", any part of "Sociabl." (including software) or content within "Sociabl.".
6.1.15 You must only use "Sociabl." for lawful purposes (under the laws of England and Wales and the territory in which you are located). Do not use or attempt to use "Sociabl." in any way that breaches any national, local or international law or regulation. You are responsible for ensuring that your use of "Sociabl." (including in respect of the processing of Fan personal data) and all of your posts, actions, activities, Talent Services, interactions and technologies placed (such as, without limitation, cookies or tracking pixels) through or in connection with your "Sociabl." Talent account are in full compliance with applicable law.
6.1.16 You must conduct yourself in a reasonably professional manner at all times and in such a way as to avoid reputational harm to us or the "Sociabl." infrastructure.
6.2 Although the offer, promotion and sale of alcohol is generally not permitted on "Sociabl.", we may, in certain circumstances, agree to allow you to offer, promote and sell alcohol products through "Sociabl.". You may only offer, distribute or sell promote alcohol products through "Sociabl." with our express prior written consent and provided you hold (and on request provide us evidence that you hold) all registrations, licenses and consents required for you to offer, promote, distribute and sell the relevant alcohol products in each jurisdiction in which you offer, promote, distribute or sell them. You must (i) comply at all times with all applicable laws and regulations, and with any terms and conditions applicable to your registration, license or consent, or that we may specify from time to time, with respect to offering, promoting, distributing or selling alcohol products, in each jurisdiction in which you offer or promote them; and (ii) provide information with the listing of your alcohol products on applicable eligibility requirements, age restrictions and age verification processes. You agree to immediately notify us in the event of any change to, or revocation or expiry of, any registrations, licences or consents you hold, and in such event, you must immediately cease any offer, promotion, distribution or sale of alcohol products through "Sociabl."
6.3 From time to time we may make additional community, safety and security rules and guidelines available to you through "Sociabl.". Where we do so, you must read and comply with them.
Intellectual Property
7.1 "Sociabl." owns all intellectual property associated with our services, including software, strategies, and educational materials. By using our services, you are granted a limited, non-transferable license to use these materials solely for personal or business purposes as part of the Sociabl. platform.
Any third-party services recommended or referred by "Sociabl.", including but not limited to software and tools, are not covered under these terms and are subject to the respective third parties' terms and conditions. Users are advised to review those terms independently.
7.2 We grant you a limited, non-transferable, revocable, non-exclusive, nonsublicensable licence to use: (i) "Sociabl." for your use as a "Sociabl." Talent (including our website and the apps we make available), including for the purposes of fulfilling your obligations and exercising your rights hereunder; and (ii) "Sociabl." branding and intellectual property rights we make available at our discretion, including our logo and/or trade marks for the purposes of the promotion of the availability to Fans of your Profile (and the Talent Services you make available through your Profile), subject in all cases to the usage restrictions under these Talent Terms. The foregoing licence includes the right for you to transact for, fulfil, market and promote the availability of your Talent Services in "Sociabl." for Fans to purchase and access.
7.3 From time to time we may provide you with certain promotional materials and assets which we identify as being for use by you for the promotion of the availability to Fans of your Profile (and the Talent Services you make available through your Profile) through your personal social media accounts, websites and blogs. In regards to such materials and assets, we grant you a limited, revocable, non-transferable, non-exclusive, non-sublicensable licence to use them for those purposes only. We may require that you cease using them and/or remove them from your social media accounts, websites and/or blogs at our discretion on written notice to you.
7.4 OUR RIGHTS TO USE YOUR CONTENT
7.4.1 When you create a "Sociabl." Talent account, you are appointing us as your vendor. You retain ownership of the content assets and materials related to your Talent Services that you submit into "Sociabl.". However, we do need you to grant us a licence, as follows, so that we are able to use your works, content and intellectual property rights in accordance with these Talent Terms.
7.4.2 You grant us a non-exclusive, irrevocable, worldwide, sub-licensable, royalty-free right and licence to use content, assets and materials related to your Talent Services (of any kind or nature including without limitation copy, audio, audiovisual materials) that you submit into Komi, such as through your posts, messages and through your offerings to Fans of your Talent Services (and your fulfilment and promotion of them), or which are generated or obtained through your use of Komi (including personal data of Fans and analytics data), but only for the following permitted purposes:
7.4.1.1to provide Komi, its content and services and fulfil relevant transactions and in order for us to exercise and fulfil our rights, duties and obligations under these Talent Terms and under the Fan Terms;
7.4.1.2to promote and market Komi and the availability of your content and/or Talent Services through Komi, including through alternative distribution channels or affiliate programmes such as: campaigns on social media, television, radio, print or other ‘out of home’ advertising, advertisements placed on search engines, incentivised referral campaigns and email marketing; and
7.4.1.3 for our product and service development purposes.
7.4.1.4 The foregoing licence that you grant to us survives termination or expiry of these Talent Terms and does not affect your ownership of your intellectual property rights. The foregoing licence means that we are entitled to use your intellectual property rights as we wish but only in connection with the permitted purposes listed above.
Privacy Policy
8.1 Our privacy practices are outlined in our Privacy Policy, which is accessible on our website. For any further information, you may request details on how your personal data is handled.
Limitation of Liability
9.1 "Sociabl." is not responsible for any outcomes, including financial success, user engagement, or content performance, resulting from your use of our services. All services are provided on an "as-is" basis, and Sociabl. disclaims any liability for damages, losses, or other claims arising from the use of our platform.
Additionally, "Sociabl." will not be held liable for any intellectual property infringement related to the content you upload or share using our platform. You are solely responsible for ensuring that all content complies with applicable copyright and intellectual property laws.
9.2 You indemnify us, and our directors, staff, suppliers, licensors and group companies, from any and all liabilities, penalties, losses and costs (including without limitation legal and professional expenses) that arise from any of the following:
9.2.1 Your breach of these Talent Terms (including without limitation the warranties you grant to us in these Talent Terms and the commitments you make to us regarding our confidential and/or proprietary information);
9.2.2 Your use of "Sociabl." in any illegal (according to laws of England and Wales as well as the territory in which you are located) way, such as if you use Komi to access, share or post illegal Talent Services or promote them, or if you use "Sociabl." Services or functionality in a way that breaches clause 7;
9.2.3 Third party claims against us (such as for, without limitation, infringement of intellectual property or privacy rights), arising from your use of "Sociabl." such as, without limitation, Talent Services you make available through "Sociabl.", technologies you place on Fan devices via your Profile such as tracking pixels or cookies, Third Party Links which you place on your Profile, or third party monetisation channels, platforms or tools you choose to link to, or integrate / connect to "Sociabl." Commerce;
9.2.4 Any claim arising from or relating to the form, content, recipient or timing of any text message, email or other electronic communication sent from or on behalf of Talent to any Fans using the "Sociabl." Talent page;
9.2.5 Your failure to fulfill your obligations to "Sociabl." Fans.
9.3 In such instances, we shall have the right to control the legal defence of any third party claim or regulatory investigation and you shall provide us with all assistance we request, acting reasonably.
DATA PROTECTION AND CONFIDENTIALITY
10.1 You, and we, undertake to comply with the data processing terms outlined in Schedule 1 to these Talent Terms.
10.2 You shall undertake and ensure that your use of the Komi Services and functionality, including the sending of electronic communications, is in compliance with applicable Data Protection Laws (as such term is defined in Schedule 1), including the EU Privacy and Electronic Communications Directive 2002/58/EC, any anti-spam laws and the UK Privacy and Electronic Communications (EC Directive) Regulations 2003 (each as amended, replaced or superseded from time to time) including national laws implementing such EC Directive, in each case to the extent applicable.
10.3 You shall undertake all responsibility to ensure that any text messages sent by you or on your behalf to any Fans using the "Sociabl." Talent page comply with all applicable requirements of the Telephone Consumer Protection Act, 47 U.S.C. § 227 et seq. (“TCPA”), and other federal and state laws (collectively, the “Telephonic Communications Laws”) applicable to text messages. You shall undertake all responsibility to implement and maintain all policies, procedures and trainings required by the Telephonic Communication Laws in connection with the making or sending of text messages by you or on your behalf to Fans using the "Sociabl." Talent page. You shall obtain prior express consent or prior express written consent (“User Consent”), as applicable and in compliance with Telephonic Communications Laws, to send text messages from you or on your behalf at the telephone number identified for that Fan in the "Sociabl." Talent page, and will not send (or cause "Sociabl." to send) text messages to Fans or other persons for whom you have not obtained the requisite User Consent.
10.4 You are exclusively responsible for the form, content, recipients, and timing of any text messages, emails or other electronic communications sent by you or on your behalf to any Fans using the "Sociabl." Talent, and for compliance with all applicable Telephone Communications Laws and Data Protection Laws in connection with such communications. Upon reasonable request and notice from "Sociabl.", you shall cooperate with "Sociabl." in good faith to prepare or execute such declarations, affidavits or other similar documents as may be reasonably necessary to support "Sociabl."’s defense of claims arising from or relating to text messages, emails or other electronic communications sent by you or on your behalf to Fans on the "Sociabl." Talent page.
Termination
11.1 You may terminate your relationship with "Sociabl." at any time by contacting our support team and following the cancellation process. Failure to complete the termination process may result in further legal action to recover any outstanding fees. You can close your "Sociabl." Talent account with us at any time, either by using settings within "Sociabl." or by contacting us. However, we may need a reasonable amount of time in order to process your closure request and update "Sociabl.".
11.2 OUR RIGHTS TO END THESE TALENT TERMS
12.2.1 We may temporarily discontinue making available "Sociabl." or any part of it for any reason, including (without limitation) for upgrades, maintenance or service administration reasons at our discretion. Updates we make to Komi do not terminate these Talent Terms. We will try to limit the downtime of the availability of "Sociabl.".
12.2.2 We reserve our right to take any action we deem reasonably necessary against you if you breach these Talent Terms or if your Profile, posts, materials, content, Talent Services or other assets on your Profile are inappropriate (as decided by us in our sole discretion) for "Sociabl." because they make "Sociabl." less safe or friendly for the Fan and Talent community. Such action may include, without limitation, terminating these Talent Terms, suspending your "Sociabl." Talent account, limiting account access (including access by Fans to your Profile or Talent Services), deleting your "Sociabl." Talent account or your Profile, posts, materials, content, services or other assets within "Sociabl." (each a “Restriction”). However, if what you have done can be put right, we will give you a reasonable opportunity to do so.
12.3 We, additionally, have the right to terminate these Talent Terms (in whole or in part) for convenience (i.e. on any grounds, at our discretion) on notice to you in line with the below (including without limitation in writing or by email), without penalty.
12.4 If we intend to apply a Restriction to your "Sociabl." access, we will provide you, where possible, with an explanation of such intention and give you the opportunity to clarify the relevant facts and circumstances (unless otherwise not permitted by applicable law). However, we reserve the right to apply a Restriction to your account without notice where required (in our sole discretion).
RESERVING OUR RIGHTS
13.1 We, and our licensors, are the owners of all rights in "Sociabl." including without limitation intellectual property rights. Except for licences expressly granted to you under these Talent Terms, no other rights or licences are granted and all of our and our licensors’ other rights are reserved.
YOUR EQUIPMENT, PRODUCTION AND MUSIC LICENSING
14.1 You are responsible for your own devices, equipment, production of assets and content and Talent Services, overheads, development costs, hardware costs, internet connection costs, costs of third parties whose tools you link to, or integrate, using Third Party Links or "Sociabl." Commerce functionality and other costs regarding any Talent Services you provide as part of being able to fulfilL your obligations and exercise your rights hereunder.
14.2 In no event shall we be responsible for paying royalties to you or any third party or collection society regarding third party intellectual property rights in any Talent Services you choose to input into "Sociabl.", including without limitation music you feature in your Talent Services. Clearance and licensing arrangements for music utilised in any and all Talent Services, content, assets and materials you provide to us or make available through "Sociabl." is solely your responsibility. You indemnify us from all costs, liabilities and expenses we incur from your breach of the foregoing.
Dispute Resolution
15.1 Any disputes arising from or relating to these "Sociabl." Terms will be resolved through arbitration, in accordance with applicable laws of the office your information was processed under. The arbitration process will commence upon written consent, by both parties, to elect the third "resolution" party involved to resolve the dispute.
USE OF THIRD PARTY SERVICES
16.1 By using "Sociabl.", you are also agreeing to the Terms of Service of "Sociabl."’s partner services, including:

GENERAL
17.1 These Talent Terms are the entire agreement between you and us in respect of your use of "Sociabl.". Any representations not set out in these Talent Terms are superseded and replaced by these Talent Terms.
17.2 Even if we delay in enforcing our rights, including under these Talent Terms, we still have the right to do so later. Failure to enforce any particular rights or obligations under these Talent Terms does not prejudice our ability to enforce any other rights or obligations under these Talent Terms.
17.3 Our remedies set out in these Talent Terms, including without limitation regarding suspending or terminating your "Sociabl." Talent account, are without limitation to any rights and remedies available to us under these Talent Terms or otherwise at law.
17.4 We have the right to subcontract, sublicense, assign, novate or otherwise transfer our rights and obligations (in whole or part) under these Talent Terms. For example, without limitation, we may do so if we are acquired or restructured. If this happens, we will notify you.
17.5 You are not permitted to subcontract, sublicense, assign or otherwise transfer your rights or obligations under these Talent Terms to a third party, unless we agree in writing.
17.6 You agree that the character of these Talent Terms is unique and of a special value to us and that, if you breach the Talent Terms, damages alone may not be a sufficient remedy and that we shall additionally have the rights (without bond or security) to equitable remedies including without limitation injunctive relief and other equitable remedies as may be available at law.
17.7 Without prejudice to the express provisions of these Talent Terms, these Talent Terms do not give rise to rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these terms.
17.8 In the event these Talent Terms or a part of them are held by any court or tribunal of competent authority to be unenforceable, these Talent Terms (or relevant part of them) will be interpreted in such a way that the rest of the terms are unaffected and such unenforceable terms shall be deemed replaced by terms which are amended to the minimum extent possible so as to be enforceable and reflect the parties intentions with full force and effect.
17.9 These Talent Terms will be governed by, and construed in accordance with, the laws of the office under which your account was processed.
17.10 If you have a dispute about these Talent Terms or arising in connection with them, please contact us first to discuss it. The courts of England and Wales shall have exclusive jurisdiction to settle disputes or claims arising from or in connection with these Talent Terms.
Changes to Terms
